Confidential Nationwide Art Platform Roll-Up

Acquire the art ecosystem. Build the next ownership model.

BuyCustom.art is a proposed standalone special-purpose vehicle that will acquire and integrate custom art businesses, galleries, art-production capabilities, and sign shops into a nationwide platform for original art, editions, commercial visual environments, and artist-aligned digital ownership.

The opportunity

A nationwide platform for a fragmented but connected market.

Artists, galleries, commission studios, fine-art printers, sign shops, framers, installers, designers, and commercial buyers often operate independently. BuyCustom.art is designed to connect these capabilities, retain their local strengths, and capture more of the value created across the customer journey.

Confidentiality: Specific targets, financial information, and transaction details are intentionally excluded. Several prospective transactions are subject to nondisclosure obligations.

01 — CREATE

Original works

Custom painting services and artist partnerships supply commissioned, one-of-one art for collectors, residences, hospitality, offices, retail, and development projects.

02 — CURATE

Demand & trust

Galleries and art advisors provide collector relationships, exhibition programming, local credibility, artist discovery, and premium sales channels.

03 — SCALE

Production & placement

Fine-art print and sign-production capabilities enable editions, wall graphics, signage, finishing, fulfillment, and turnkey installation at scale.

Platform design

Creative brands in front. Shared infrastructure behind.

Each acquired business can retain the identity and relationships that make it valuable. The SPV centralizes the capabilities that improve with scale: marketing, CRM, finance, e-commerce, production systems, procurement, business development, and capital access.

BuyCustom.art

The umbrella platform and digital gateway for custom commissions, original works, limited editions, commercial art packages, artist stories, and future authenticated ownership programs.

Custom Art & Artists

A premium original-art engine serving collectors and commercial clients, while creating intellectual property and edition opportunities when artists elect to participate.

Galleries & Advisors

Gallery locations, online collections, and advisory relationships deliver trusted curation, artist access, collector leads, and high-value client experiences.

Print, Sign & Installation

Acquired production businesses create a vertically integrated path for archival reprints, large-format décor, branded environments, commercial graphics, finishing, delivery, and installation.

Revenue engine

Balance collector upside with commercial recurring demand.

Original and commissioned art

One-of-one works, custom paintings, portraits, site-specific installations, art advisory, and premium collector services.

Galleries and editions

Curated originals, limited-edition prints, framed art, online collections, licensing, artist programs, exhibitions, and collector CRM.

Commercial art and visual environments

Programs for hospitality, multifamily, offices, retail, restaurants, healthcare, education, municipalities, designers, architects, and developers.

Production and service revenue

Fine-art scanning, digital reprints, giclée, large-format printing, signage, finishing, fulfillment, installation, and white-label production.

Acquisition strategy

Acquire durable relationships, operating capability, and expandable rights.

The SPV will pursue opportunities nationwide, ranging from strategic bolt-ons to larger anchor acquisitions. A current potential acquisition is listed near $12 million, while other prospective opportunities are materially smaller. Each transaction will be underwritten on its individual cash flow, strategic fit, integration requirements, and rights profile.

Future tokenized ownership option

Original ownership, artist royalties, and a structured resale pathway.

Subject to legal, securities, tax, consumer-protection, intellectual-property, and marketplace review, BuyCustom.art may offer an opt-in tokenized program for select artworks. The program is intended to complement—not replace—traditional art ownership, gallery sales, and artist rights.

ORIGINAL

Verified ownership

A token or digital certificate may record authenticated ownership and provenance for an original work, with clear separation between ownership of the physical work and any reproduction or licensing rights.

PRINT BENEFIT

Collector editions

Token holders may receive a defined print benefit, such as an approved edition, a preferential purchase right, or access to limited reprints—only under artist-approved terms and edition controls.

RESALE LOOP

Artist-aligned resale

If an owner elects to resell an original through an approved marketplace process, the transaction can create a new collector offering while providing the original artist with agreed print royalties or other contractual resale participation.

Important design principle: Every work requires explicit artist agreements defining reproduction rights, edition size, royalty rates, resale terms, token-holder benefits, platform fees, and the distinction between physical-art ownership and intellectual-property rights. Legal review is required before launch.
Early-partner advantage

The first businesses to join can participate in the platform’s early upside.

Early acquisition partners may receive enhanced consideration structures, subject to transaction-specific negotiation and legal/tax review. The objective is to reward those who help establish the platform’s operating base and category leadership.

Potential enhanced equity

Founding acquisition partners may receive a higher allocation of SPV equity, units, or other permitted participation interests than later participants, based on contribution and deal terms.

Preferred token allocation

Where a compliant token program is launched, early partners may receive a negotiated bump in platform-token allocation or priority access to applicable artist-approved programs.

Operating leadership

High-performing founding operators may retain leadership roles, participate in expansion plans, and help establish the standards and relationships that guide the national platform.

Capital & ownership

Flexible structures for acquisitions of different sizes.

The platform may use a transaction-specific combination of cash at close, seller financing, retained equity, earn-outs, performance incentives, strategic capital, private debt, and equipment financing. This flexibility supports both anchor acquisitions and smaller strategic bolt-ons.

Potential sources

Founder equity, strategic investors, acquisition debt, seller notes, equipment financing, and reinvested operating cash flow.

Uses of capital

Acquisition consideration, fees, working capital, equipment modernization, technology, marketing, e-commerce, inventory, and commercial-sales expansion.

Seller proposition

Owners can gain liquidity while preserving teams, legacy, and brand value—and may participate in the upside of a broader art and production platform.

Execution roadmap

Establish the SPV, prove integration, then scale nationwide.

PHASE 1

Structure

Finalize SPV structure, branding, acquisition criteria, valuation templates, diligence process, target universe, and legal architecture for rights and token options.

PHASE 2

Anchor deals

Prioritize complementary businesses that create both demand and production capability, while evaluating larger anchor opportunities alongside smaller bolt-ons.

PHASE 3

Integrate

Connect CRM, websites, quoting, finance, sales collateral, production workflow, and cross-selling without diluting local creative identities.

PHASE 4

Expand

Build national commercial accounts, add galleries and artists, launch digital programs, pursue licensing, and introduce compliant tokenized offerings if appropriate.
